Private Client Agreement  

Soulmate Matchmaking Inc parent company, and herein referred to as Soulmate Matchmaking, is the only matchmaking service of its kind to provide a highly customized, personal, and discrete matchmaking service focusing upon the quality, rather than the quantity, of its client introductions. Soulmate Matchmaking consistently attracts a narrow demographic of high-caliber, ambitious individuals of all ages who are seeking like-minded life partners. And it utilizes a sophisticated and intensive matchmaking system combined with personalized, professional coaching and feedback designed to increase the likelihood that matches will be successful. Soulmate Matchmaking believes its exhaustive, personal, and exclusive matchmaking process - together with its exclusive, five-star, Soulmate concierge service - is the best way to provide what its clients desire: selective introductions that have the highest possible potential for a long-lasting and fulfilling personal companionship. 

Before becoming a Soulmate Matchmaking client, each potential client goes through a pre-qualification assessment in order to identify those unique qualities required for a healthy romantic partnership, while also evaluating their emotional health and readiness for a personal relationship. With utmost discretion, the Soulmate team collects enough information about each potential client and the person they are seeking in order to assess mutual compatibility with each client and our matchmaking process. Additionally, Soulmate Matchmaking uses staff psychologists to assist in the pre-qualification of each client based upon a thorough understanding of, among other things, their unique personality; desires; interests; core values; family and developmental history; relationship history; career history; lifestyle; and family and cultural background. 

After becoming a Soulmate Matchmaking client, under the Private Membership Agreement, a client should expect to receive the most exclusive level of the Soulmate Experience: 

• The scheduling of a welcome call within 5 business days during which a Soulmate Matchmaking team member explains the details of the Soulmate Experience, including its matchmaking process. 

• Unlimited direct access and communication with Soulmate team throughout the matchmaking process and relationship with Soulmate . 

• Unparalleled efforts from entire Matchmaking Team including the consideration of matches within Soulmate ’ extensive data-base of like-minded clients, as well as the engagement of select headhunters in various geographical and social demographics, all committed to assisting with our ongoing search efforts for our client’s ideal match. 

• Expert dating and relationship feedback and coaching throughout the client's matchmaking experience. 

• Access to Soulmate 's five-star concierge service, dedicated to assisting clients with anything and everything from the scheduling of introductions to the reservation of related transportation, accommodations, meeting venue selection, and anything else required to support a seamless, exciting and romantic experience. 

• Continuous matchmaking services until the earliest of one of two events: (1) the client is married to another Soulmate Matchmaking client or (2) the expiration of one year from the commencement of client's contract. 

By signing the matchmaking agreement (this "Agreement") below, you (" ") are agreeing to the following terms and conditions governing Soulmate Matchmaker Inc, New York providing of its matchmaking services to Client: 

1. Term of Agreement. This Agreement shall commence upon Soulmate Matchmaking's receipt of Client's payment of the total sum of $10,000.00 and Soulmate Matchmaking's receipt of this signed Agreement and shall terminate on the earlier of (1) the client is married to another Soulmate Matchmaking client or (2) the expiration of one year from the commencement of client’s contract. 

2. Soulmate Matchmaking' Responsibilities. In addition to the duties described above, Soulmate Matchmaking shall provide continuous matchmaking services until the date of termination of this Agreement. 

3. Confidentiality. Except to the extent necessary to provide client introductions, Soulmate Matchmaking will keep all information received from Client in strict confidence. Client shall hold all information received regarding Soulmate Matchmaking' other clients in confidence, including their names, addresses, and phone numbers. Such information is used for the sole purpose of introductions made by Soulmate Matchmaking and many not be disclosed by Client in any form, including introductions to individuals not associated with Soulmate Matchmaking. 

4. No Guarantees. Soulmate Matchmaking may not be able to provide successful matches for everyone seeking to use its services. Soulmate Matchmaking makes no guarantees, either express or implied, regarding Client's ultimate compatibility with individuals met through its services or as to the conduct of such individuals. 

5. Proprietary Rights. Client hereby acknowledges and agrees that Soulmate Matchmaking is the owner of highly valuable proprietary information, including without limitation, its compatibility matchmaking process, compatibility profiles, and relationship questionnaires (collectively "Proprietary Information"). Soulmate Matchmaking owns and hereby retains all proprietary rights in the Proprietary Information. Client shall not post, copy, modify, transmit, disclose, show in public, create any derivative works from, distribute, make commercial use of, or reproduce in any way any Confidential Information. 

6. No Emotional Distress Damages. Client acknowledges and understands that the provision of matchmaking services necessarily involves areas of human emotion and relationships which carry with them the potential for severe disappointment and/or emotional distress to Client in the event of a failed match, or the failure to find an appropriate match at all. By entering into this Agreement, Client expressly assumes the risk of such emotional distress and waives any claims against Soulmate Matchmaking or its affiliates, principals, employees, or agents for emotional distress damages of any kind, or any basis. 

7. General Limitation of Remedies. To the maximum extent permitted by applicable law, in no event shall Soulmate Matchmaking or any of its subsidiary and parent companies, affiliates, principals, employees, or agents be liable for any incidental, special, consequential, indirect damages, or punitive or exemplary damages arising out of, relating to, or in connection with this Agreement. To the maximum extent permitted by applicable law, under no circumstances shall the aggregate liability of I.T Productions (and its affiliates, subsidiary and parent companies, members, representatives, employees, principals and agents) under any claim arising under this Agreement or from any related matter, including without limitation any claim sounding in contract, negligence, tort, fraud or any other doctrine of law or equity, and including without limitation any claim that concerns services rendered or omitted to be rendered hereunder or in any related matter, exceed fifty percent (50%) of the amounts paid by Client under this Agreement. 

8. No Personal Liability. Client acknowledges and agrees that the affiliates, subsidiary and parent companies, members, representatives, employees, principals, and agents of Soulmate Matchmaking shall not be personally liable for any claim that arises under this Agreement or from any related matter, including without limitation any claim that sounds in contract, negligence, tort, fraud or any other doctrine of law or equity, and including without limitation any claim that concerns services rendered or omitted to be rendered hereunder or in any related matter. 

9. No Liability for Non-Soulmate Matchmaking Actions.To the maximum extent permitted by applicable law, in no event will Soulmate Matchmaking be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of Client or anyone else in connection with Soulmate Matchmaking providing of the services, including without limitation, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other clients of Soulmate Matchmaking. This includes any claims, losses or damages from the conduct of other clients of Soulmate Matchmaking who attempt to defraud or harm Client. 

10. Integration. This Agreement constitutes the entire agreement and understanding between Soulmate Matchmaking and Client as to the matters set forth herein and otherwise replaces any prior negotiations, proposed agreements - written or oral - or previously signed agreements as to those matters. No amendment or modification of this Agreement shall bind either party unless in writing and signed by both parties. 

11. Binding Arbitration. Client and Soulmate Matchmaking must submit to confidential binding arbitration any claim that arises under this Agreement or from any related matter, including without limitation any claim that sounds in contract, negligence, tort, fraud or any other doctrine of law or equity, and including without limitation any claim that concerns services rendered or omitted to be rendered hereunder or in any related matter. The binding arbitration shall be by a panel of three arbitrators and in conducted under the Rules of Arbitration of the International Chamber of Commerce, with both administration of the arbitral proceedings and arbitrator appointment authority vested in the International Chamber of Commerce; and the arbitrator's award shall be entered as a civil judgment in any court vested with jurisdiction to enter such judgment. 

Client understands and acknowledges that, by agreeing to binding arbitration, Client waives their right to submit the dispute for determination by a Court and thereby also waive the right to a jury or court trial. The sole and exclusive venue for the arbitration and or any legal dispute, shall be Clark County, State of New York. The parties agree that the existence of such binding arbitration, and the results therefrom, shall be kept confidential indefinitely. 

12. Limitation of Time to Commence a Dispute. Regardless of any statute or law to the contrary, and to the maximum extent permitted by any law, any dispute arising out of or related to this Agreement, the services provided by Soulmate Matchmaking under this Agreement, and/or any policies or practices of Soulmate Matchmaking must be filed within one (1) year after the date in which the incident giving rise to the dispute occurred. Failure to file an arbitration claim as described in paragraph 11 within this limitations period constitutes a waiver of such claim and serves as complete bar to any claim based on any such dispute. 

13. Applicable Law and Venue. This Agreement shall be governed and controlled by the laws of the State of New York applicable to contracts made in the State of New York, without regard to any conflict of law principles. This Agreement has been executed and delivered in and shall be deemed to have been made in the Queens County, State of New York. The parties each agree to the exclusive jurisdiction of any state or federal court within Queens County, State of New York, with respect to any claim or cause of action arising under or relating to this 

Agreement. Soulmate Matchmaking and Client waive any defense of inconvenient forum to the maintenance of any action or proceeding in the Queens County, State of New York. 

14. Severability. If any of the provisions of this Agreement are determined to be illegal, invalid or otherwise unenforceable, in whole or in part, they shall be deemed severable from, and shall in no way affect the validity or enforceability of, the remaining provisions of this Agreement. 

15. 3-Day Cancellation. Client may cancel this Agreement without any penalty or obligation, at any time prior to midnight of the third business day following the date of this Agreement, excluding Sundays and holidays. To cancel this Agreement, mail or deliver a signed and dated notice, or send a telegram stating that you, Client, are cancelling this Agreement, or words of similar effect. Emails is not acceptable notice. The notice under this paragraph shall be sent to: Soulmate Matchmaking, 37-66 74st 2nd Floor, Jackson Heights, NY 11372, USA. 

16. Cancellation As a Result of Death or Disability.If by reason or death or disability Client is unable to receive all services for which Client has contracted under this Agreement, Client or Client's estate may elect to be relieved of the obligation to make payments for services other than those received before death or the onset of disability, except that if a physician determines that the duration of the disability will be less than six months, Soulmate Matchmaking may extend the term of this Agreement for a period of six months at no additional charge to Client in lieu of cancellation. "Disability" means a condition which precludes either of the parties from physically using or providing the services for which Client contracted under this Agreement during the term of disability and condition is verified in writing by a physician designated and remunerated by Client. 

17. Cancellation At Any Time Without Refund.Client may cancel this Agreement at any time during its term, but except as provided in paragraphs 15 and 16 above, the retainer fee paid by Client under this Agreement is nonrefundable. 

18. No Representations or Warranties. Soulmate Matchmaking and Client acknowledge and agree that no other party, nor agent or attorney for any other party, has made any promise, representation, or warranty whatsoever, express or implied, not contained herein, to induce them to execute this Agreement, and acknowledge they have not executed this Agreement in reliance upon any such promise, representation, or warranty not contained herein. 

20. Additional Terms 

I notarized signature below affirm that I am currently planning to get married and I and I am legally competent to enter a marriage at my own free will and not under duress or undue influence and I am 18 years of age or older. 

Client acknowledges and represents that they have read this Agreement in its entirety, understand all its terms and provisions.
